Board Meeting Minutes

0. Tony Bouchane, hard to get ahold of.

1. By-laws
    - previous box holder deceased.  name in suspended status, just
      file and let the sec state figure it out.  don't explain to sec state.
    - vote to send in as is and let state figure out.  What if state rejects?
      state will inform us.  Lori moves, John seconds.  6 for, 5 absent.
    - 2/3 vote to change name.
    - agent for process of service, we will put board instead of two
      incorporators, what is our charitable purpose?  Mission and vision
      statement.  Must expand the vision statement to include benefit of
      the organization.
    - what about full time employees?  No.  Change to 3 of the possible ids?
    - one vote per membership, first class members can serve on board
    - membership fee for resident membership  $20.
    - supporting membership open to anyone
    - membership expires at the end of fiscal year (Dec), sec keeps track,
      treasurer handles money.
    - full membership meeting second saturday in June, 
      60 day notice of location
    - 12 people constitute a quorum, only board can call additional meetings
    - vote by show of hands, vote by ballot for positions
    - board elected at membership meeting, lasts one year, new board at
      next board meeting, bring oranges before
    - board members must be present to vote, 6 board members is quorum
    - cap the checking account amount, no salaries
    - standing committees, saftey committee


2. Meeting with County Sups

    - Dan and Ron met with Placer county supervisor.  Sup is very new
      but wants to help.  We have a staff member contact.  Agreed to set
      up quarterly meetings with DSAA.

3. Royal Gorge

   - Offered help to Martin at SLPOAA who is leading their
     organization's response.

4. Vision Statement
    - will be part of the articles of incorporation, cannot be political.
    - expand on the public benefit of our corp.
